Terms & Conditions for Direct Clients / Applicants
These Terms govern your use of the Orenda Finserv website and Platform to browse, compare, and apply for loan products as a direct Applicant. Please read them carefully before submitting any application.

1.Introduction and Acceptance
These Terms & Conditions for Applicants ("Terms") govern registration and use of the website orendafinserv.com and its related dashboard, CRM, AI eligibility tools and related services (collectively, the "Platform") by individuals and entities who directly submit their own loan-related information and documents on the Platform, without being introduced through a Direct Selling Agent, channel partner, or referral partner ("Applicant", "Client", "you") of Orenda Financial Services Private Limited ("Orenda", "Company", "we", "us"). Orenda operates the Platform as a loan discovery and comparison aggregator, and not as a lender, and does not itself sanction or disburse any loan, as further explained in Clause 3.
By registering on the Platform as an Applicant, or by submitting any Application through the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any product-specific instructions issued by Orenda from time to time.
These Terms apply to you in your capacity as a person directly submitting your own loan requirements on the Platform. Where you have instead been introduced to the Platform by a Direct Selling Agent or channel partner ("DSA Partner"), a separate "Terms & Conditions for DSA Partners" document governs that DSA Partner's own relationship with Orenda; these Terms nonetheless continue to apply to you as the Applicant/Client whose case is filed.
You accept these Terms by way of click-wrap acceptance on the Platform (for example, by ticking a consent box and proceeding with registration or submission of your Application). You agree that such click-wrap acceptance, together with the IP address, device, and timestamp recorded by the Platform at the time of acceptance, constitutes a valid and binding acceptance of these Terms under the Information Technology Act, 2000, and that Orenda's electronic records of such acceptance, of the logging of an Application, and of related communications, are conclusive evidence of the matters they record, in the absence of manifest error.
2.Definitions
“Application” means a loan enquiry or application filed directly by you on the Platform for eligibility assessment and Lender facilitation.
“Disbursement” means the actual release of loan funds, whether in full or in one or more tranches, by a Lender to or for your benefit.
“Lender(s)” means the banks, NBFCs, and other financial institutions to which your Application may be forwarded for consideration. Orenda's arrangement with a given Lender varies: for some Lenders, Orenda (directly or through a group/associate entity) holds a direct empanelment, tie-up, or agency arrangement; for other Lenders, Orenda operates through channel or referral arrangements, or simply recommends the Lender based on Orenda's own market knowledge, product experience, and the AI Tool's assessment, without any formal arrangement with that Lender. Orenda is not necessarily empanelled with, tied up with, or an authorised agent of every Lender named or referenced on the Platform, and your Application may equally be forwarded to a Lender not listed on the Platform where appropriate.
“AI Tool” means the Platform's automated eligibility-assessment feature described in Clause 9, which analyses information and documents submitted for an Application and generates a Funding Quotation.
“Funding Quotation” or "Quotation" means the dated, uniquely referenced document generated by the AI Tool for your specific Application, listing one or more prospective Lenders together with indicative loan terms as described in Clause 9, and bearing a stated validity period.
“Personal Data” means any data about an individual who is identifiable by or in relation to such data, as defined under the Digital Personal Data Protection Act, 2023.
“Working Day” means a day, other than a Saturday, Sunday, or public holiday, on which Orenda's offices are open for business in Ahmedabad, Gujarat.
3.Nature of the Relationship
Orenda operates the Platform as a loan discovery and comparison aggregator. Orenda is not a bank or NBFC, does not itself sanction or disburse loans, and your relationship with Orenda in respect of an application is that of a facilitator assisting you in identifying and approaching prospective Lenders — it is not that of a lender, broker of record, or agent authorised to bind any Lender. Your relationship with Orenda is strictly that of a digital facilitator assisting you in identifying and applying to prospective Lenders. Nothing herein constitutes an offer of credit from Orenda.
Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency relationship between you and Orenda, and nothing in these Terms makes Orenda an agent or representative of any Lender, or makes you an agent of Orenda.
The nature of Orenda's relationship with any given Lender is as described in the definition of "Lender(s)" in Clause 2.3. You must not assume any particular arrangement between Orenda and a Lender beyond what Orenda confirms to you in writing.
You acknowledge that all loan sanctioning, credit risk assessment, disbursals, and loan account servicing are executed solely and directly by the respective Regulated Entity (Lender). All loan disbursements and repayments shall take place strictly between the bank accounts of the Lender and the Applicant, without passing through any pool or escrow account of Orenda.
4.Eligibility and Registration
To register as an Applicant and use the Platform, you must be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872.
You agree to provide accurate, current, and complete information during registration (name, mobile number verified by OTP, email, city, and supporting documents) and to promptly update such information if it changes.
Orenda may conduct KYC and background verification and may, at its sole discretion, approve, decline, suspend, or revoke your registration, including where eligibility criteria are not met or cannot be verified.
You are solely responsible for maintaining the confidentiality of your login credentials and OTPs and for all activity conducted through your account, and must notify Orenda immediately of any unauthorised access. You must not permit any third party to access or operate your account on your behalf, save where that third party is a DSA Partner duly registered with Orenda for that purpose.
Where you are registering on behalf of a company, partnership, LLP, or other entity, you warrant that you are duly authorised by that entity to submit its loan requirement and to agree to these Terms on its behalf.
5.Your Role and Responsibilities
As an Applicant, you will provide your loan requirement details and supporting documents through the Platform for AI-based eligibility pre-screening and subsequent filing with a suitable Lender.
You are responsible for the accuracy of the information you submit and for ensuring that documents you upload are genuine and belong to you. You must not submit fabricated, forged, or knowingly inaccurate information or documents.
6.Representations and Warranties
You represent and warrant, on a continuing basis, that you:
- (a)the information and documents you submit are true, accurate, and belong to you;
- (b)you have the legal right and authority to submit such information and documents on the Platform;
- (c)you will not misrepresent yourself, your income, or your financial position to Orenda or to any Lender;
- (d)you consent to Orenda showing, sharing, and submitting your information and documents to prospective Lenders and related persons as described in Clause 11;
- (e)you will comply with all applicable law, including KYC and anti-money-laundering norms; and
- (f)you will not engage in any activity that is fraudulent, deceptive, or that could expose Orenda or a Lender to legal, financial, or reputational harm.
7.Prohibited Conduct
You must not:
- (a)submit fabricated, forged, or knowingly inaccurate information or documents. Any Application found to involve fraudulent documentation may be rejected, reported to the relevant Lender and/or regulatory authorities, and will result in immediate suspension or termination of your account, in addition to other legal remedies available to Orenda;
- (b)create multiple accounts, or file duplicate or parallel Applications for the same loan requirement with the intention of manipulating or circumventing Orenda's processes;
- (c)represent a Funding Quotation, or any figure within it (including the Estimated Approval Ratio, indicative ROI, or indicative loan amount), as a guaranteed, confirmed, or firm loan offer, or rely upon an expired Quotation as current; or
- (d)reverse-engineer, copy, decompile, extract, or attempt to derive the underlying source code, algorithms, logic, or data models of Orenda's AI Tool or Platform infrastructure.
- (e)submit multiple Applications with materially inconsistent information for the same loan requirement, for the purpose of testing or manipulating the AI Tool's output.
8.Duplicate Applications and Channel Priority
You may come to be represented on the Platform through more than one channel — for example, where you submit an Application directly, and the same loan requirement is also, or was earlier, submitted on your behalf by a DSA Partner as a "Case" under Orenda's Terms & Conditions for DSA Partners, or where more than one DSA Partner submits your details as a Case. Where this occurs, Orenda will process only the earliest-logged submission for your loan requirement, determined by the date and time first recorded on Orenda's systems, regardless of whether that submission was made by you directly or by a DSA Partner.
The submission identified as first-in-time under Clause 8.1 remains the active submission for your loan requirement until the earlier of (a) Disbursement, (b) rejection or formal withdrawal of that submission, or (c) 90 days during which no activity has been recorded on it. Where that submission has been sanctioned by a Lender, it remains the active submission until Disbursement, save where the delay is attributable to Orenda's own processing.
This Clause 8 governs which submission Orenda will process, and does not by itself entitle you to any fee, discount, or other benefit; it exists so that your loan requirement is handled once, through a single, consistently-tracked submission, rather than in parallel across channels.
If you believe your Application has been incorrectly treated as a duplicate of a Case submitted by a DSA Partner without your knowledge or consent, you may raise this with Orenda's Grievance Officer under Clause 18.
Orenda's electronic records of the date and time a submission was first logged are conclusive, in the absence of manifest error.
9.AI-Based Funding Quotation Tool — How It Works and Its Limitations
The Platform includes an AI-based tool that analyses the information and documents you submit (such as GST returns, average bank balance, DSCR-relevant financials, existing obligations, your profile, and your stated loan requirement) against known Lender criteria, and generates a Funding Quotation for your Application.
A Funding Quotation is a dated document bearing a unique reference number, and ordinarily sets out, for one or more prospective Lenders: the type of loan product (e.g., term loan, dropline overdraft), an expected loan amount range, an indicative rate of interest (ROI) range, an upfront cost range, a tenure range, and an approximate EMI range for each Lender listed, together with an overall "Estimated Approval Ratio" and an "Indicative Likely Range" summarising the most probable outcome across the Lenders shown (collectively, the "AI Output").
The AI Output is generated for guidance purposes only, to help you compare prospective Lenders and decide where to file your Application. It does NOT constitute a loan offer, sanction, or commitment from Orenda or from any Lender named in the Quotation, and does not bind any Lender to accept your Application, sanction any amount, apply the indicated ROI, or charge the indicated upfront cost.
The final loan amount, interest rate, tenure, processing/upfront fees, and all other terms are subject to: (a) complete documentation and verification by the concerned Lender; (b) that Lender's own credit assessment and underwriting policies; (c) regulatory and scheme guidelines applicable at the time of application; and (d) your actual credit history, CIBIL score, and financial profile at the time of formal application — each of which may cause the final sanctioned terms to differ significantly from the Quotation.
The Estimated Approval Ratio and any weighted/summary rate figures shown in a Quotation are statistical estimates derived from the pre-profiling assessment and available data patterns. They are not a prediction or guarantee specific to your case, and are always shown together with a disclaimer to that effect.
Every Funding Quotation is valid only for the period stated on its face (currently 30 days from the date of issue, unless otherwise indicated). You must not rely upon an expired Quotation as current, and should request a fresh Quotation if the stated validity period has lapsed.
Orenda uses reasonable efforts to keep the AI Tool's underlying data and logic accurate and current but does not warrant that a Quotation will be free of error, and shall not be liable for any loss or claim arising from your reliance on a Quotation.
10.Fees and Charges
Orenda does not currently charge you any fee for registering on the Platform, submitting an Application, or receiving a Funding Quotation. Any such fee that Orenda may introduce in future will only apply prospectively and will be notified to you in advance.
Orenda may, in respect of some Lenders, receive a referral, commission, or arrangement fee from the Lender or from a DSA Partner upon successful disbursement of your loan. Such fee is payable by the Lender or DSA Partner to Orenda and does not increase, and is not charged to, the loan amount, interest rate, or fees payable by you to the Lender.
Any processing fee, upfront cost, or other charge payable by you is determined and charged solely by the Lender in accordance with that Lender's own terms, and does not form part of these Terms. You are responsible for independently confirming such charges with the Lender before proceeding.
Orenda's receipt of compensation /fees from a Lender does not create any advisory, fiduciary, or fee-for-advice relationship between you and Orenda. Orenda does not recommend, and is not obliged to recommend, the Lender or product most favourable to you, and you should independently evaluate each Lender's terms before proceeding.
11.Client Data — Consent and Handling
By submitting your Personal Data (name, contact details, income, PAN, financial documents, etc.) on the Platform, you consent to Orenda collecting, processing, and using such data for the purpose of eligibility assessment and loan facilitation, in accordance with Orenda's Privacy Policy and the Digital Personal Data Protection Act, 2023.
You authorise Orenda to show, share, disclose, and submit your information and documents to bank officers, credit officers, underwriters, and other authorised representatives of Lenders, as well as to other persons reasonably involved in the loan facilitation process (including verification agencies, Orenda's operations and credit team, and Orenda's own management), for the purpose of processing, evaluating, pre-profiling, or otherwise progressing your Application. This authorisation extends to the pre-profiling and eligibility-assessment stage, i.e., Orenda may show or submit your information and documents to a bank officer or other person even before a formal loan application has been initiated with, or filed before, any particular Lender.
You acknowledge that neither Orenda nor any DSA Partner through whom you may have been introduced acts as a "Specified User" under the Credit Information Companies (Regulation) Act, 2005 for direct procurement of your credit score. Where credit pre-screening or a soft-pull evaluation is required, Orenda acts strictly as a digital/administrative facilitator to assist you in providing consent for such a check. Any soft credit pull or CIBIL check shall be executed directly by an authorised Specified User (such as a Lender, NBFC, or licensed Credit Information Company partner) or generated directly by you, and Orenda shall merely receive the credit assessment output for eligibility-matching and loan facilitation purposes.
You must access and use the Platform solely for your own Application, and must implement reasonable safeguards over your own login credentials.
Orenda processes Personal Data submitted by you in accordance with its Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023.
You may withdraw your consent to processing of your Personal Data at any time by written request to Orenda, without affecting the lawfulness of processing carried out before such withdrawal. Withdrawal of consent may mean Orenda is unable to continue processing your Application, and Orenda shall not be liable for any consequence of your Application not being progressed as a result.
By submitting your contact details on the Platform, you expressly provide your consent to receive transactional and informational communications (including application status, document requests, and loan offers) from Orenda, its representatives, and prospective Lenders via Phone Calls, SMS, WhatsApp, RCS, and automated dialers. You agree that this consent overrides any registration of your mobile number on the National Do Not Call (NDNC) Registry or National Customer Preference Register (NCPR) under TRAI regulations, for the duration of your active Application and for a period of twelve (12) months thereafter.
12.Confidentiality
You agree to keep strictly confidential all non-public, proprietary, or operational information disclosed by Orenda, including but not limited to platform workflows, lender credit evaluation parameters, algorithms, business proposals, and the specific terms of any Funding Quotation. You shall not disclose such information to any third party without Orenda's prior written consent, except where required by applicable law or judicial order.
The confidentiality obligations contained in this Clause 12 shall survive the termination or deactivation of your account for a period of two (2) years, or until such information enters the public domain through no breach on your part, whichever is longer.
13.Intellectual Property
All content on the Platform, including the Orenda name and logo, dashboards, and the AI Tool, is the property of Orenda or its licensors. You may not copy, reproduce, modify, distribute, or reverse-engineer any part of the Platform without Orenda's prior written consent, beyond ordinary authorised use of the Platform to submit and track your own Application.
14.Disclaimers
The Platform and the AI Tool are provided on an "as is" and "as available" basis. Orenda does not warrant that the Platform will be uninterrupted or error-free.
Orenda does not guarantee that your Application will be accepted by any Lender, or that any loan will be sanctioned or disbursed, as this depends on Lender underwriting outcomes outside Orenda's control.
15.Limitation of Liability
To the maximum extent permitted by law, Orenda shall not be liable for indirect, incidental, or consequential loss arising from a Lender's rejection, delay, or modification of your Application, or from your reliance on AI Output as described in Clause 9.
To the maximum extent permitted by law, Orenda's aggregate liability to you under these Terms shall not exceed ₹ 20,000, save where such limitation is not permitted under applicable law, or in cases of fraud or wilful default by Orenda.
16.Indemnification
You agree to indemnify and hold harmless Orenda, its directors, officers, and employees from claims, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) inaccurate, false, or fraudulent information or documents submitted by you; or (c) your violation of applicable law.
17.Suspension and Termination
Orenda may suspend or terminate your account, with or without notice, for breach of these Terms, submission of false information, fraudulent conduct, failed KYC verification, or where required by a Lender or regulator. If your account is suspended or terminated for breach of these Terms, you must not attempt to register a new account on the Platform, whether in your own name or otherwise, without Orenda's prior written consent.
You may deactivate your account at any time by written request. Deactivation does not affect any Application already under process with a Lender at the time of deactivation.
Clauses 8, 9, 10, 11, 12, 13, 14, 15, 16, 18 and 20 survive termination of these Terms.
18.Grievance Redressal
For any grievance regarding the Platform or your Application, contact Orenda's Grievance Officer below. Orenda will endeavour to acknowledge within 48 hours and resolve within 30 days.
19.Amendments
Orenda may revise these Terms from time to time and will post the updated Terms on the Platform with a revised "Last Updated" date. Continued use of the Platform after such changes constitutes acceptance.
20.Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Subject to Clause 20.2 and Clause 20.3, the courts at Ahmedabad, Gujarat shall have exclusive jurisdiction.
Any dispute arising out of or in connection with these Terms, where the claims aggregate to less than ₹5,00,000 (INR Five Lakh), shall be subject to the exclusive jurisdiction of the competent civil courts at Ahmedabad, Gujarat. For claims exceeding ₹5,00,000, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement of both parties (or failing agreement, pursuant to Section 11 of the Act). The seat and venue of arbitration shall be Ahmedabad, Gujarat, and proceedings shall be conducted in English.
Nothing in this Clause 20 restricts your right, where you qualify as a "consumer" under the Consumer Protection Act, 2019, to approach the appropriate consumer forum having jurisdiction over your complaint.
21.Force Majeure
Orenda shall not be liable for delay or failure in performance caused by circumstances beyond its reasonable control, including natural disasters, government action, or failure of Lender/Credit Bureau systems.
22.Miscellaneous
Severability: invalid or unenforceable provisions do not affect the remainder of these Terms.
Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Orenda regarding your use of the Platform as an Applicant.
Electronic Evidence and Audit Logs: The parties agree that in any judicial, quasi-judicial, or arbitral proceedings arising out of these Terms, electronic records, database logs, OTP authentication records, timestamps, and system-generated audit trails maintained by Orenda shall be admissible as evidence and, in the absence of manifest error, shall constitute prima facie proof of the matters recorded therein. The Applicant agrees not to object to the admissibility of such records solely on the ground that they are electronic in nature, provided such records are accompanied by a certificate under Section 63 of the Bharatiya Sakshya Adhiniyam, 2023 (or Section 65B of the Indian Evidence Act, 1872, as applicable).
Assignment: you may not assign your rights under these Terms without Orenda's prior written consent.
